1. Acceptance
By downloading, installing, or using Ollie System offerings — including the Ollie Linux distribution and bundled Ollie apps (the distribution is sometimes abbreviated OS in installers or technical names) — or any other Ollie-branded software (collectively, the Software), you agree to be bound by these Terms of Use. If you do not agree, do not install or use the Software.
2. Who we are
The Software is created and maintained by the Ollie team, a project of Costa & Associates LLC, a limited liability company organized under the laws of the State of New Mexico, United States. References in these Terms to "we", "us", or "our" mean Costa & Associates LLC acting through the Ollie team.
The Ollie team is responsible for the operation, distribution, and support of Ollie System and the broader Ollie ecosystem. You can reach us at contact@olliesystem.com.
3. License grant
The Software is licensed, not sold. Ollie products are made available at no charge for evaluation and for personal, non-commercial use. Commercial use requires a separate written license agreement with us. These Terms grant you no commercial rights of any kind, and nothing you download from this website, and no license key issued for evaluation, grants them either.
3.1 Evaluation and personal use
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Software free of charge, within the version-year scope described in section 3.3, for (a) evaluation of the Software, and (b) personal, non-commercial use on devices you own or control. You may make reasonable copies of installation media for backup purposes. We may revoke this license at any time, and will normally do so only if you materially breach these Terms.
3.2 Commercial use requires a written license
Commercial use means any use of the Software by, for, or on behalf of a business, employer, government body, non-profit, educational institution, or any other organization. It includes, without limitation: internal business or administrative use; use in a production environment; use by employees, officers, or contractors in the course of their work; use to provide services to third parties, whether or not those services are charged for; and deployment onto devices owned, managed, or paid for by an organization. Commercial use is licensed only under a separate written agreement between you and Costa & Associates LLC, scoped to your deployment, and is not granted by section 3.1.
There is no self-serve checkout and no public price list for a commercial license. Terms — including scope, fees, term length, support, and the number of devices or users covered — are agreed in writing for each deployment. To begin that conversation, write to contact@olliesystem.com.
3.3 Year-versioned licensing
Ollie products are licensed on a per-version-year basis. Each major release of an Ollie product is identified by its version year (for example, Ollie System 2026), and a license you receive for a given version year applies only to that release, including updates we release within that version year. When a new version year is released (for example, Ollie System 2027), it is a separate product with its own license; moving to it is agreed as part of your license agreement or its renewal. Licenses for prior version years remain governed by the terms under which they were issued.
3.4 Commercial discretion
We reserve the right, at our sole discretion, to license or decline to license any Ollie product, edition, or combination of Ollie products to any party, and to charge any amount or no amount for doing so, except where prohibited by applicable law. We may change commercial terms, license durations, bundles, eligibility rules, and support arrangements at any time. Changes apply to new licenses from when they take effect. Licenses already granted remain governed by their own written agreement, and, where there is any conflict between that agreement and these Terms, that agreement prevails.
3.5 License verification
License verification (section 7) uses the license key issued to you. Keys are issued by us; they are not generated at checkout and are not transferable between licensees.
4. Restrictions
You may not:
- Use the Software for any commercial purpose, as defined in section 3.2, without a written license agreement with us.
- Reverse engineer, decompile, or disassemble the Software, except to the extent that applicable law prohibits this restriction.
- Remove or obscure proprietary notices, branding, or licensing notices included with the Software.
- Distribute, sublicense, lease, rent, or sell the Software or modified versions of it under the Ollie name.
- Use the Software in any way that violates applicable law, infringes on the rights of third parties, or interferes with the operation of the Software for other users.
5. Open-source components
Ollie System incorporates the Linux kernel, mainstream hardware drivers, a standard package ecosystem, the KWin window manager, and many other open-source projects. Each open-source component remains licensed under its own terms (GPL, LGPL, MIT, Apache, BSD, etc.); nothing in these Terms restricts your rights under those licenses with respect to those components. The Ollie-branded software (the apps, the desktop shell, branding assets, and customizations distributed by us) is proprietary to Costa & Associates LLC and is licensed to you under these Terms.
6. Intellectual property
The Ollie-branded software, including all original code, user interfaces, branding, and documentation, is owned by Costa & Associates LLC and protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.
6.1 Your content
7. Local data and license verification
The Software is designed to operate locally. Files, settings, mail, browser history, AI conversations, and other application state are stored on your device under directories named after each app (typically ~/.ollie-{app}/). The Software does not transmit your content to us in normal operation.
License verification, where applicable, requires the Software to send your license key, email address, and an application identifier to online services operated by or for Costa & Associates LLC to confirm validity. This is the only network request the Software makes to us by default. See the Privacy Policy for details.
If you choose to enable optional cloud-based services (for example, configuring an external AI provider in Ollie Assistant or Ollie Suite), data you send to those services is governed by the terms and privacy policies of those third-party providers, not by us.
8. Disclaimer of warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by applicable law, Costa & Associates LLC disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI-generated content.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COSTA & ASSOCIATES LLC BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SOFTWARE.
Our total cumulative liability to you for all claims arising from or related to the Software shall not exceed the greater of (a) the amount you have paid us for the affected Software in the twelve (12) months preceding the claim, or (b) US$50.
10. Indemnification
You agree to defend, indemnify, and hold harmless Costa & Associates LLC, the Ollie team, and our officers, employees, and contractors from any claim or demand made by any third party arising from or relating to (a) your use of the Software, (b) your violation of these Terms, or (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right.
11. Governing law and dispute resolution
These Terms are governed by the laws of the State of New Mexico, USA, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved by binding arbitration in Albuquerque, New Mexico, except that either party may bring an action for injunctive relief in a court of competent jurisdiction. YOU AGREE THAT DISPUTE RESOLUTION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
12. Changes and termination
We may modify or discontinue the Software, or any feature within it, at any time. We may suspend or terminate your right to use the Software immediately if you breach these Terms. We will post any material changes to these Terms on this page; continued use of the Software after a change constitutes acceptance of the revised Terms.
We may change the commercial terms on which we license Ollie products, as described in section 3.4, without updating every paragraph of these Terms. Where you hold a written license agreement with us, that agreement governs your commercial terms.
